Subject to the terms and conditions below, Billfire, Inc. ("Billfire") grants the person or entity that is a customer ("Customer" or "User") of SYSCO Corporation ("SYSCO") and employees acting on such Customer's behalf ("Representatives") who are assigned or allowed to use a passcode and logon identifiers ("Login Information") to access www.statementx.com (the "Web Site"), a revocable and non- transferable license to access the Web Site solely for the User's internal use in accordance with this agreement ("Agreement"). User acknowledges and agrees that Billfire may terminate or suspend the license to access the Web Site and Services (as that term is defined below) at any time and for any reason as to any User. Customer agrees that any use of the Web Site by its Representatives will be deemed to be fully authorized by the Customer, that the Customer is responsible for the actions of its Representatives and that the obligations and limitations that apply to the Customer hereunder also apply to its Representatives. BY USING THE LOGIN INFORMATION PROVIDED BY BILLFIRE TO ACCESS THE WEB SITE, EACH CUSTOMER AND REPRESENTATIVE AGREES TO AND ACCEPTS EACH OF THE PROVISIONS OF THIS AGREEMENT. Billfire is relying upon such Agreement and acceptance in continuing to provide access to the Web Site to such Customer ACCESSING THE WEB SITE WITH THE LOGIN INFORMATION SHALL CAUSE THIS AGREEMENT TO BE EXECUTED BY CUSTOMER AND REPRESENTATIVES FOR ALL LEGAL PURPOSES. When a Representative of a Customer acts as a "User" it does so on the Customer's behalf.
For purposes of this Agreement, the "Services" shall mean services provided by Billfire that allow Users to use the Web Site to (i) obtain copies of and information concerning statements, invoices, credits and other related information from SYSCO and (ii) authorize and make electronic payments to SYSCO.
The User may not provide access in any way to the Web Site to any third party. The foregoing does not preclude the User from using information for its internal purposes.
THE WEB SITE AND ALL INFORMATION PROVIDED THROUGH THE WEB SITE ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, BILLFIRE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON- INFRINGEMENT, QUALITY, PERFORMANCE, NON-INTERFERENCE WITH INFORMATION, AND ACCURACY OF INFORMATIONAL CONTENT. BILLFIRE IS NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE CONTENT POSTED ON THE WEB SITE, WHETHER CAUSED BY SYSCO OR BILLFIRE OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE WEB SITE. Billfire makes no representations about the suitability of the information contained in or provided through this Web Site. The information published on this Web Site may include inaccuracies or errors. User acknowledges and agrees that all of the data displayed on this Web Site is for User's reference only and WILL NEVER supersede any information received directly from SYSCO. Billfire HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO the accuracy of any data displayed on this Web Site.
Customer agrees that any actions taken (or deemed taken) using Customer's Login Information will be attributed to and will be binding and enforceable against Customer and that Customer is wholly responsible for any losses arising from misuse of the Login Information. Customer shall report any loss of the Login Information or any unauthorized access, or reasonable suspicion of unauthorized access, to the Web Site through Customer's Login Information by a third party promptly to Billfire. Upon receiving such information from Customer, Billfire shall disable the Login Information and provide Customer with new and secure Login Information.
Changes are periodically made to the information available through the Web Site. Billfire may make changes to the Web Site at any time in its sole discretion and without notice to the User. Billfire reserves the right to change this Agreement at any time by revising the terms and conditions herein. User is responsible for regularly reviewing these terms and conditions. Continued use of the Web Site following any such changes shall constitute the User's acceptance of such changes.
User represents and warrants that it possesses the legal right and ability to enter into this Agreement and to use this Web Site and the Services in accordance with all terms and conditions herein, and that it resides or has its place of business in the United States or Canada.
User agrees that it will not use the Services in any manner that could damage, disable, overburden, or impair any Billfire server, or the network(s) connected to any Billfire server, including those associated with the Web Site, or interfere with any other party's use and enjoyment of the Services. User agrees not to attempt to gain unauthorized access to the Services, other accounts, computer systems or networks connected to Billfire, through hacking, password mining or any other means. User also agrees that it will not obtain or attempt to obtain any materials or information through any means not made directly available through the Services. User may not engage in systematic retrieval of data from this Web Site to create or compile, directly or indirectly, in whole or in part, a collection, database, or directory. User may not reproduce, publish, transmit, distribute, display, modify, create derivative work from, sell, participate in the sale of, or exploit in any way, in whole or in part, any of the content of the Web Site, the Web Site, or any related software. Without limiting any other provision herein, User agrees to indemnify Billfire and SYSCO from and hold Billfire and SYSCO harmless against any losses that result from User's breach of this Agreement.
The Web Site is protected by copyright, trade secret, patent, trademark, trade dress, and other intellectual property rights. The Billfire logo, and other trademarks, service marks, logos, and service names (collectively, the "Marks") are owned or licensed by Billfire. The entire Web Site, and all object and source code, text, graphics, templates, and all scripts within the Web Site and the design, layout and contents of this Web Site are Copyright © 2006– Billfire, Inc. All rights reserved. User may not modify, copy, distribute, transmit, display, reproduce, publish, license, create derivative works from, transfer, or sell any information, logo, graphic, image, software, products or services appearing on or obtained from this Web Site. SYSCO is a registered trademark of SYSCO Corporation. User should also be aware that the names of other companies and their products mentioned herein might be the trademark of their respective owners.
Each User acknowledges and agrees that neither Billfire nor SYSCO has warranted that any access to the Services or the Site will be uninterrupted, trouble free or available at all times. Without in any way limiting any other provision contained in this agreement, User agrees that in no event shall Billfire or SYSCO or any of Billfire's or SYSCO's officers, directors, owners, employees, independent contractors, agents, operating companies or affiliates be liable for, and User hereby exculpates and releases all such persons from, any liability, directly or indirectly, to User for any direct, indirect, incidental, special, punitive, or consequential damages or loss that the User may suffer by reason of, arising out of, or related to, (a) the use of the Web Site or inability to use the Web Site for any reason, (b) any information appearing on or through the Site, or (c) any error or omission of information on the Web Site. IF USER IS DISSATISFIED WITH THE WEB SITE, OR ANY INFORMATION CONTAINED ON THE WEB SITE, USER'S SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE. NOTWITHSTANDING THE FOREGOING, BILLFIRE'S LIABILITY TO YOU SHALL BE LIMITED IN ALL INSTANCES TO $100. This Agreement is governed by the laws of the State of Texas, U.S.A, and not by the application of choice of law principles the laws of any other jurisdiction. User consents to the exclusive jurisdiction and venue of courts in Dallas County, Texas, U.S.A., in all disputes arising out of or relating to the use of this Web Site. User may not assign, transfer or sublicense User's rights pursuant to this Agreement. Billfire's performance of this Agreement is subject to existing laws and legal process and nothing contained in this Agreement is in derogation of Billfire's right to comply with law enforcement requests or requirements relating to the User's use of this Web Site or information provided to or gathered by Billfire with respect to such use. If any part of this Agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue in effect. Each of the operating companies and subsidiaries of Billfire or SYSCO are intended third party beneficiaries of this Agreement and may enforce it as against User.
This Agreement constitutes the entire agreement between the User and Billfire with respect to this Web Site and it supersedes any prior agreement of any type between the User and Billfire with respect to this Web Site. A printed version of this Agreement and of any notice given in electronic form will be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Any rights not expressly granted herein are reserved by Billfire.
